Terms & Conditions

Digital Stags delivers bespoke commercial agency solutions, including but not limited to:

• Search Engine Optimization (SEO)
• Performance Paid Ads (Meta & Google)
• Custom Web & SaaS Development
• iOS, Android & Flutter Mobile Apps
• Branding, Identity & Graphic Design
• Commercial Video Editing & Motion Assets

Each engagement is governed by a dedicated proposal, quote, or Statement of Work (SOW) detailing the agreed milestones, timeline, deliverables, and fees. Material expansions of scope require written amendment and revised pricing.

To enable timely and successful execution, the Client agrees to:

• Asset & Information Delivery: Furnish text copy, vector brand marks, product assets, and necessary administrative credentials in a timely manner.
• Prompt Feedback & Approvals: Review project milestones, design mockups, and deployment builds within agreed review windows (ordinarily 5 business days) to prevent project staging delays.
• Licensing Representation: Guarantee that all graphics, copy, imagery, and software supplied by the Client for incorporation into deliverables do not infringe upon third-party intellectual property rights.

Services are billed in accordance with the payment schedule prescribed in the project proposal:

Late payments exceeding 14 calendar days from due date may result in temporary suspension of ongoing active sprints, advertising campaign management, or staged deployments until cleared.

• Ownership Transfer Upon Full Settlement: Upon full and final settlement of all invoices for bespoke software, graphic design, and video assets, all intellectual property rights in the final approved deliverables transfer to the Client.
• Third-Party Components: Stock imagery, fonts, sound assets, and open-source software libraries remain subject to their respective perpetual, commercial, or GNU/MIT licenses.
• Portfolio Showcase Right: Unless expressly prohibited under a pre-signed Non-Disclosure Agreement (NDA), Digital Stags reserves the right to display completed public work and project summaries in its portfolio, case studies, and marketing materials.

We conduct our services with professional craftsmanship, industry best practices, and commercial care.

To the maximum extent permitted by applicable law, Digital Stags shall not be liable for indirect, consequential, or punitive damages. Our aggregate liability arising under any project shall not exceed the total fees paid by the Client to Digital Stags for the specific service component in question during the prior 3 months.

Both parties agree to hold all non-public technical, operational, commercial, and financial information disclosed during the engagement in strict confidence. Neither party shall disclose proprietary business trade secrets to any third party without prior written consent, except where required by law.

Either party may terminate an ongoing retainer agreement upon 30 calendar days written notice. In the event of early termination or fixed-scope cancellation:

• The Client shall remunerate Digital Stags for all verified hours, completed milestones, and non-refundable third-party commitments incurred up to the effective termination date.
• Upon receipt of outstanding dues, Digital Stags will surrender all completed deliverables, code artifacts, and assets created for the Client.

These Terms and Conditions and any separate agreements whereby we provide services shall be governed by and construed in accordance with the laws of India.

Any dispute, controversy, or claim arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts situated in Chandigarh, India.
